Terms of Service
Last updated: October 14, 2026 · Version 0.2 (draft)
neuri.bazar ("Neuri Bazar") is a service of Neuri LLC, an Arizona limited liability company ("Neuri", "we"). Mailing address: [Neuri LLC postal address — pending, Ricardo to provide]. Email: hola@neuri.tech. Legal contact: [Legal contact name and email — pending].
These terms apply to the business that opens a store on neuri.bazar ("the store", "you") and to the people the store invites to use it. By creating a store or using the service you accept them.
2. The service
Online software to run antique malls, vendor malls, flea markets and consignment shops that rent booths: inventory and tags, register (also offline), layaways, returns, gift cards, commissions, booth rent, vendor statements and payouts, reports (including sales tax and the annual payouts report), rental agreement with e-signature, booth waitlist, public item page, the "My Booth" portal for each vendor, WhatsApp or email notices, and publishing promotions to the store's social accounts.
Neuri is a software provider. We are not a party to sales between the store, its vendors and its customers.
3. Your account and sign-in
You sign in with Google or with a one-time link we email you (expires in 20 minutes; the one in the signup email, in 24 hours). Whoever controls the email controls access, so keep your email account secure.
The owner decides who to invite and with which role (owner, manager, cashier, staff) and can remove access or end anyone's sessions instantly. We recommend always having at least two owners.
Each vendor's "My Booth" link has no password: anyone with it can view it. It expires after 90 days without use and the store can replace it at any time.
Tell us right away at hola@neuri.tech if you think someone accessed your account without permission.
4. Trial, plans and billing
14-day free trial, no card needed. After it, you choose a plan (Basic, Pro or Plus) to continue.
Current prices are at neuri.tech/en (USD) and neuri.tech/bazar (MXN). They are billed monthly in advance through Stripe Billing; Neuri never sees or stores your card number. Taxes: [Pending with accountant: whether Arizona TPT / other state sales tax applies to the subscription, and whether MXN prices include IVA]
You can change plan or card, or cancel, yourself from "My plan" (Stripe customer portal). When you cancel, service continues until the end of the paid month; there are no refunds for partial periods unless applicable law requires otherwise.
If a payment fails or the trial ends without a plan, you get a 5-day grace period; after that the store becomes read-only: you can view and download everything, but not record sales or changes until you pay. It unlocks automatically when you pay.
Each plan includes a monthly WhatsApp message allowance. When it runs out, sale alerts pause; statements keep going out. Email does not use the allowance.
Founding-customer offers or special prices are given in writing and prevail over this section.
5. Money: what Neuri does and doesn't do
In-store sales
Money from register sales (cash, card terminal or transfer) goes directly to the store. Neuri only records the sale and calculates commissions, taxes and balances using the rules the store sets.
Card charges to vendors (Stripe Connect)
If the store connects its own Stripe account (Stripe Connect, Standard account), Neuri creates charges on behalf of the store, in the store's account for:
Backup card for rent: if a vendor's sales don't cover their rent, the shortfall (up to the rent amount) is charged to the card the vendor saved in My Booth, only if they checked the authorization box ("I authorize [store] to charge my rent to this card when my sales don't cover it"). We keep the accepted text and the date. If the charge fails, it is retried once after 3 days and the balance stays due.
First month's booth rent: when a booth application is accepted, the vendor can pay the first month with a Stripe payment link.
That money is deposited in the store's Stripe account; Neuri does not receive or hold it and currently charges no fee on it. The store is the merchant for those charges and is responsible for refunds, disputes and related taxes. Stripe's terms also apply, including its Connected Account Agreement. Card data is collected and stored by Stripe; Neuri only sees the last 4 digits.
Vendor payouts
Neuri calculates what each vendor is owed and generates bank files (CSV, ACH/NACHA in the US, SPEI layout in Mexico). The store uploads them to its bank and makes the transfers. Neuri does not transfer money to vendors.
6. Your data
What you enter (items, sales, vendors, customers, reports) belongs to the store. For its vendors' and customers' data, the store is the controller and Neuri acts as a processor / service provider: we process it only to provide the service and on your instructions. Details in the Privacy Notice.
We do not sell data, use it for advertising, or use it to train artificial intelligence models.
You can download all your data at any time (Settings → Your data), even in read-only mode.
We may use aggregated, non-personal metrics (for example, how many stores use a feature) to improve the service.
7. Your responsibilities
Give your vendors, customers and booth applicants your own privacy notice and get their consent where the law requires it, especially before sending them WhatsApp messages.
Set tax, commissions, rent and fees correctly, and review reports before paying or filing.
Taxes and invoices: the receipt the system produces is a sales receipt, not a tax invoice (and not a Mexican CFDI). Collecting and remitting sales tax (such as Arizona TPT) or IVA, issuing invoices and filing 1099 forms are the store's responsibility. Neuri's reports are a tool, not tax advice.
The sample rental agreement is only a starting point: review it with your lawyer before using it.
Have the rights to the photos and text you upload or publish.
8. WhatsApp and email
Each vendor chooses a channel: WhatsApp, email or none. WhatsApp is optional and is only sent to vendors the store marked as having consented; a vendor can ask to stop messages at any time.
Notices (sales, statements, payouts, My Booth links, agreements, layaway reminders) are service messages about the vendor's or customer's relationship with the store.
Commercial emails from Neuri to owners (news or offers) identify Neuri LLC, include our postal address and an unsubscribe link, and we honor opt-outs within 10 business days, as the US CAN-SPAM Act requires. Service emails (sign-in links, billing, store closure) are always sent.
9. Facebook and Instagram
If the store connects its Facebook Page and Instagram account (optional), Neuri publishes the promotions the store approves (or all of them, if "publish without approval" is on), with the item photo, price and booth. The store is responsible for what is published and must follow Meta's rules. It can disconnect at any time; the access token we keep is stored encrypted and deleted on disconnect.
10. AI assistants
The owner or a manager may choose to connect an assistant such as Claude or ChatGPT to the store (connector bazar.neuri.tech/mcp). Whatever the assistant reads or writes passes through that provider under its own terms. Actions that send messages or move money require confirmation, and the connection can be removed at any time.
11. Acceptable use
You may not use neuri.bazar to sell illegal or stolen goods, send unwanted messages, impersonate anyone, try to access other businesses' data, overload or attack the service, or for anything unlawful. We may suspend an account that does, with notice when possible.
12. Availability and backups
We make reasonable efforts to keep the service running and backed up (encrypted daily backup kept for 30 days), but interruptions may happen. We will give advance notice of planned maintenance. The register can keep taking cash offline and uploads sales when it reconnects.
13. Cancel, close and delete
Closing your store: the owner does it from Settings → Your data → "Close my store". The store is locked for 30 days (you can download your data or restore it), we email you 7 days before, and on day 30 we permanently delete its data (items, sales, vendors, photos). Encrypted backups expire on their own within the following 30 days.
We keep only what the law requires (for example, records of our own billing in Stripe).
If you cancel your plan without closing the store, it becomes read-only and its data is kept so you can view or download it until you close it. [Pending: maximum period before deleting canceled stores that are never closed]
14. Liability
The service is provided "as is" and "as available". To the extent the law allows, Neuri's total liability for any claim is limited to what the store paid Neuri in the 12 months before the claim, and Neuri is not liable for lost profits or for business, tax or payment decisions made based on the reports. Nothing here limits rights that cannot be waived by law.
15. Changes
We will email at least 30 days' notice of any material change to these terms or to prices. If you disagree, you can cancel before it takes effect.
16. Governing law
[Pending legal review: Arizona law and Maricopa County courts for US stores; for stores in Mexico, whether to submit to Mexican law and courts and whether the Federal Consumer Protection Law applies.]
